Wavelab Essentials. It's about $100 and will do everything you mentioned plus it's a full-fledged Mastering program. I know I sound like a Wavelab salesperson due to other similar replies, but trust me, it's probably the most useful piece of software I ever bought - besides Windows XP Pro.
