Yes so did I. The key from the download Version I got for $14.99 (new laptop promo from MS) The key worked fine-running smoothly. The download was x64-no x32. I had to choose.

Why can't I activate Windows?  
If you received a message saying that Windows couldn't be activated, here are a few reasons why it might not have worked, and some things you can try to fix the problem. For additional help with the activation process, contact support.
You upgraded to Windows 8, but didn't have a previous version of Windows installed (error 0xC004F061) If you see error 0xC004F061 when you try to activate Windows 8, it means that you're using a product key for an upgrade version of Windows 8 and a previous version of Windows wasn't on your PC when Windows 8 was installed. To install an upgrade version of Windows 8, you must already have Windows 7, Windows Vista, or Windows XP installed on your PC.
If you formatted the drive before the upgrade version of Windows 8 was installed, you won't be able to use your upgrade product key to activate Windows 8. To activate Windows 8, you'll need to install your previous version of Windows, and then reinstall Windows 8.

Call MS as soon as you can. You may be able to contact them now. I don't know that for sure though. 

Before you do call you might try doing a reinstall and use the key that came with the DVDs.

I tried. they are out for the day. What a day. I have 2 legal paid for copies of Win Pro and I cannot activate. Meanwhile, like I said the MS tech told me there is no upgrade DVD and I could do a clean install. He neglected to tell me I would not be able to activate it? It's useless now - cannot get past the activation screen.

My biggest regret is the Octacapture sitting here staring at me with sad eyes - I know it will work on my desktop so no point in that-it's for the laptop with the usb 3 ports.

I've installed it for a family members machine.. from a clean drive as I *HATE* the mess of having an old OS sitting in the background.. just to verify their stuff..

but then I see online "Oh you can't run say win7 and then the upgraded 8 on the machine".. yet they want you to install the older OS to put the newer one one ;) make ya mind up hehe

I had to ring em, to get it activated.. I was hung up on first time... I was *FURIOUS* .. 2nd time I got someone with a brain and it took 5 minutes if that. I wouldn't have bought it , if the upgrade price is higher, which it will be soon.

When I upgraded, I decided to buy a new drive, installed Win7 64-bit on that (I was running Win7 32-bit on my old drive but had the Ultimate DVDs), then just went right to the MS site and upgraded to Win8x64. So I guess that's about as clean of an upgrade as you can do without doing a fresh install of Win8. I was probably just lucky, but it was the easiest Windows upgrade I've ever done as far as hardware goes. Even my Win7 AudioFire drivers work great. It's ridiculous, but I've got XP on one drive, Win7 on another and Win8 on the new drive (plus a fourth data drive), so I get three OS's on the boot menu. Win8 has worked out great for me, though, so that's where I've been for the past few months.

Did that and now it is activated. I cannot be sure if it's because I used the key that matched the disc or the fact that I actually upgraded Win 8 over itself?
