I just bought my first 2 Waves products. One for $50 and one or $70.
Should I be worried about this (I don't really understand it) or should I ignore it and hope it goes away like my Credit Card bill?

Only if you believe you'll need to upgrade in the near future...it's basically insurance for you plugins...if Waves releases a new
version of your plugins, you get them for free, rather then having to pay an upgrade price.

The benefit is that you can use what you pay for the WUP to buy new stuff...it gives you up to 50% off bundles...
You get a Waves Voucher for every dollar you spend on the WUP which is good for 25% off plugs or 50% off bundles,
AND you get upgrade insurance...

Like cclarry said with one more point--that is you only get support from Waves support if you have up to date WUP.  Usually this is not an issue because you have probably worked out the kinks to get a plugin working within the first year, but if Waves eventually issue a new version to work with let's say Windows 9 (in a couple of years) you might need that version and you only get that update if you have paid your WUP.  Of course you can wait and pay when you need it, but it appears that waiting means that you will have to pay the premiium $300 fee (or whatever wavesuniverse.com or audiodeluxe.com are discounting those for in the future).

One other reason to update is if the newer versions of Windows need updated drivers from Waves.  So let me ask:  does the current v9 version of Waves work with Win8?  I have not updated to Win8 yet and probably won't until I see a need to do so--Win7-64bit is working great for me.  So any issues with Win8?  If not, then I may wait to WUP.

I've been using Sonar X2 and Waves V9 on Win 8 since release.  There have been some minor issues.
The only one I've had was adding a Waves plugin to the FX Bin in a project created in X1 and opened
under X2.  X2 would crash every time I tried to add a plugin to the bin.  This was resolved by
saving the file under a new name in X2 and then re-opening the project.  All issues disappeared.
Even though my completed X1 projects had Waves V9 plugs in them already, those would play just fine.
I have been using all my Waves plugins under X2 in new projects without issue, although many here
have reported some issues.

I believe X2 under Win 8, with Waves V9, and even with my 32 bit plugs, has been solid for the most part.

I know its just me, but waves is the biggest disappoint ever.
The forum is full of whining when Cake charges $99 for the latest Sonar.
And waves "caps" WUP at $300?
What a deal!
I love the spinning "W" while I wait for it to load.

FabFilter and TRacks; just me, just sayin'...

I never even downloaded v9.

Only if you believe you'll need to upgrade in the near future.. 

...or, if you decide to sell them.  My understanding is that your WUP has to be current before Waves will allow a second-hand sale.
